Terms of Service

1. Agreement to these terms

ScrapDesk (the "Service") is a product of Lumin Creative Pty Ltd. By creating an account or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all users of the Service, including free trial users and paid subscribers.

2. The Service

ScrapDesk provides a business management application for scrap metal recyclers — including tools for recording acquisitions, sorting, processing, sales, inventory management, and contact management. The Service is available as a web application and mobile application (iOS and Android).

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuance.

3. Accounts

• ▸You must be at least 16 years old to create an account.
• ▸You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.
• ▸You must provide accurate and complete information when creating your account.
• ▸Notify us immediately at support@scrapdesk.app if you suspect unauthorised use of your account.
• ▸One person or legal entity may not maintain more than one free account.

4. Subscriptions and billing

Some features of ScrapDesk require a paid subscription.

• ▸Billing: Subscriptions are billed in advance on a monthly or annual basis. All prices are shown in the currency applicable to your region.
• ▸Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — you retain access until then.
• ▸Refunds: We offer a pro-rata refund for annual subscriptions cancelled within 14 days of payment. Monthly subscriptions are non-refundable once the billing period has started.
• ▸Price changes: We will give at least 30 days' notice before changing subscription prices. Continued use after the effective date constitutes acceptance.
• ▸Failed payments: If a payment fails, we will attempt to retry it. If payment cannot be collected, your account may be downgraded to a free tier.

5. Your content

You retain ownership of all data, records, and files you create or upload to ScrapDesk ("Your Content"). By using the Service, you grant us a limited licence to store, process, and display Your Content solely to provide the Service to you.

You are responsible for ensuring Your Content does not violate any applicable laws or third-party rights. You represent that you have the right to upload any photos or files you attach to records.

6. Acceptable use

You agree not to:

• ▸Use the Service for any unlawful purpose or in violation of any applicable regulations
• ▸Attempt to gain unauthorised access to any part of the Service or its infrastructure
• ▸Reverse engineer, decompile, or attempt to extract the source code of the Service
• ▸Use automated tools to scrape or extract data from the Service at scale without written permission
• ▸Resell or sublicence access to the Service to third parties
• ▸Upload malware, viruses, or any other harmful code

We reserve the right to suspend or terminate accounts that violate these restrictions without notice or refund.

7. Intellectual property

The ScrapDesk name, logo, application design, and all software are owned by us and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our intellectual property other than as necessary to use the Service.

8. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

ScrapDesk is a record-keeping tool. You remain solely responsible for the accuracy of your business records, compliance with applicable regulations (including scrap metal dealer licensing and reporting requirements), and any financial or tax obligations arising from your business operations.

9. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities arising from your use of (or inability to use) the Service.

Our total liability to you for any claim arising from these Terms or your use of the Service will not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

You may delete your account at any time from within the app. We may terminate or suspend your account if you violate these Terms, or if your account has been inactive for more than 24 months on a free plan.

Upon termination, your right to use the Service ceases immediately. Sections 5, 7, 8, 9, and 11 survive termination.

11. Governing law

These Terms are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of the courts of New Zealand, except where mandatory consumer protection laws in your country of residence require otherwise.

12. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or with a notice inside the app at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes acceptance.
